TL;DR – Quotes are valid for 30 days; prices are in ZAR and exclude VAT, duties, delivery and insurance. Your order becomes a contract only when we issue a written order confirmation. New and non‑account customers pay up front; approved accounts have 30‑day EOM terms. Risk transfers on dispatch or collection and title transfers on full payment. We warrant what we sell but exclude indirect losses. South African law applies.

  1. About Hydramatics

Hydramatics Control Equipment (Pty) Ltd ("Hydramatics", "we", "us") is a South African distributor of electro‑pneumatic and fluid‑control components. These Terms & Conditions of Sale ("Terms") apply to business customers placing orders through our website, by telephone, by email or in person. Nothing in these Terms affects any statutory rights you may have under South African consumer protection laws.

  1. Quotes and Pricing

• Written quotations are valid for 30 calendar days from the date of issue unless stated otherwise. After expiry, prices and lead times may change without notice.

• All prices are quoted in South African Rand (ZAR) and exclude VAT, customs duties, delivery charges and insurance unless expressly stated. VAT will be added at the prevailing rate on orders delivered within South Africa.

• Prices on imported products may fluctuate with exchange rates. If the Rand moves more than ±2 % between quotation and order confirmation, we reserve the right to adjust the price accordingly and will confirm any change with you before invoicing.

• We may correct obvious errors in price or description. If a pricing error is discovered after acceptance, we may cancel your order and refund any payment already made.

  1. Orders and Contract Formation

• Your purchase order (whether placed via our website, email or other channel) constitutes an offer to buy products or services. A binding contract forms only when we issue an Order Confirmation specifying price, quantities and delivery date. Each accepted order is a separate contract.

• We may decline to accept orders due to stock unavailability, credit concerns, export restrictions, regulatory compliance or pricing errors.

• Once we have issued an Order Confirmation you may not cancel or amend that order except as permitted under our Sales Return & Refund Policy.

  1. Payment Terms

4.1 Accepted Payment Methods

• Electronic Funds Transfer (EFT): pay to the bank account specified on our invoice. We will never change banking details by email; please verify details by phone if in doubt.

• Credit or Debit Card: we accept Visa, Mastercard and other major cards via our secure Paystack gateway. Card details are processed by Paystack and are not stored by Hydramatics.

• Mobile Payments: on request we may accept Ozow or SnapScan.

• Trade Credit: approved account holders may pay on 30‑day end‑of‑month (EOM) terms. To apply for a credit facility please contact accounts@hydramatics.co.za.

4.2 Deposits and Special Orders

For custom‑manufactured or special‑order items, we may require a non‑refundable deposit of 50 % at the time of order. The balance is payable before dispatch or collection. Deposit invoices must be settled within 7 days of issue to avoid delays.

4.3 Currency and Taxes

Invoices are issued in ZAR. Prices quoted exclude VAT, customs duties and import/export charges unless specified. You are responsible for any applicable taxes, duties and bank charges.

4.4 Late Payments

All payments must be made without set‑off or deduction. If any amount is not paid by the due date, all outstanding amounts become immediately due and payable. We may charge interest on overdue amounts at the prime lending rate plus 2 % per annum, calculated daily until payment is received. We may also suspend deliveries, cancel outstanding orders and withdraw credit facilities. You are liable for all costs incurred in recovering overdue amounts, including legal fees on an attorney‑and‑client basis.

4.5 Billing Disputes

If you believe an invoice is incorrect, please notify us in writing at accounts@hydramatics.co.za within 7 days of the invoice date, providing details and supporting evidence. Disputed amounts remain payable for undisputed portions while we investigate. Failure to notify us within this period constitutes acceptance of the invoice.

  1. Delivery, Risk and Title

• Delivery terms and charges are set out in our Shipping & Delivery Policy. Unless otherwise agreed in writing, goods are supplied EXW (Ex Works) Johannesburg.

• Risk of loss or damage passes to you when goods are dispatched to your carrier or collected by you or your agent.

• Title to goods remains with Hydramatics until we have received payment in full (including VAT, delivery charges and any interest). If payment is overdue we may repossess goods and you authorise us to enter your premises to do so.

  1. Warranties and Liability

• Hydramatics‑manufactured products are warranted free from material defects for 3 months from the date of dispatch. Third‑party products are covered by the applicable manufacturer’s warranty (usually 12 months or as specified). See our Warranty & Service Policy for details.

• This warranty excludes defects arising from misuse, improper installation, unauthorised repair or modification, contamination, normal wear and tear, acts of God or use outside the product specifications.

• To the fullest extent permitted by law, we exclude liability for any indirect, special or consequential loss (including loss of profit, production, business or goodwill) arising out of or in connection with the supply of goods or services. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under South African law.

  1. Force Majeure

We are not liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, war, riot, strike, lock‑out, pandemic, shortage of labour or materials, explosion, fire, flood or breakdown of plant or machinery.

  1. Export Compliance and Sanctions

You warrant that you will not use, resell or supply any goods in breach of South African export control laws or applicable international sanctions. You are responsible for obtaining all necessary licences, permits and customs clearances. We may refuse to supply or cancel orders without liability if supplying you would breach any applicable sanction, embargo or trade restriction.

  1. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising out of or in connection with these Terms will be resolved by the courts of Johannesburg, Gauteng, which have exclusive jurisdiction.
